These Terms of Service (“Terms”) govern your access to and use of this website and any related content or enquiry channels (together, the “Service”) provided by Ikonic Technology Limited (“Ikonic Technology”, “we”, “us”, or “our”), trading as Ikonic Technology. By using the Service you agree to these Terms; if you do not agree, please discontinue use.

1. Professional services and payment

Scope: Technology consulting, software delivery, cloud engineering, cybersecurity advisory, data services, and managed support are provided only under a separate statement of work, order form, or master services agreement that describes deliverables, assumptions, fees, and acceptance criteria.

Payment: Fees, expenses, and third-party charges (for example cloud consumption billed pass-through) are as set out in the applicable contract. Recurring fees are typically invoiced in advance; time-and-materials or milestone billing will be stated explicitly. Late payment may result in suspension of work or termination as permitted by law and the contract.

2. Intellectual property

Pre-existing materials, methodologies, tools, and reusable components owned by Ikonic Technology Limited remain our property unless expressly assigned in writing. Deliverables identified as bespoke work product for you are licensed or assigned as stated in your agreement. Materials you provide—logos, data sets, credentials, or proprietary code—remain your property, and you warrant you have the rights needed for us to use them to perform the services.

3. Client responsibilities

You will supply timely access to stakeholders, systems, documentation, and test environments reasonably required for delivery. You are responsible for the accuracy of information you provide, for obtaining internal approvals, and for compliance with laws applicable to your industry and data. Delays attributable to you may affect schedules and costs in line with the governing agreement.

4. Confidentiality

Each party will protect the other’s non-public information using no less than reasonable care and will use it solely to perform or receive the services. Confidentiality obligations survive termination as stated in your contract or, where silent, for three years from disclosure, except for trade secrets which remain protected while they qualify as such.

5. Termination

Website use may be withdrawn at any time. For professional engagements, termination rights and notice periods are governed by the applicable contract. Either party may terminate for uncured material breach where the agreement permits. Fees for work completed and committed third-party costs remain payable unless otherwise agreed in writing.

6. Disclaimer of warranties

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Ikonic Technology Limited disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free site availability. Any illustrative metrics on this site are not guarantees of future performance for your organisation.

7. Limitation of liability

To the maximum extent permitted by applicable law, neither Ikonic Technology Limited nor its suppliers will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data arising from use of this website or general marketing content. Our aggregate liability arising out of these Terms and your use of the Service (excluding liability that cannot be limited under law) will not exceed the greater of one hundred pounds sterling (£100) or the amount you paid us solely for website-related services in the twelve months preceding the claim, if any.

8. Governing law

Unless your written contract with us specifies otherwise, these Terms and any dispute arising from your use of the Service are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction, subject to mandatory consumer protections where applicable.

9. Changes

We may modify these Terms by posting an updated version on this site. Material changes will take effect when posted unless stated otherwise. Your continued use after changes constitutes acceptance; if you disagree, you should stop using the Service.
